CollabPortals affiliate program terms

1. Definitions

  • "CollabPortals", "we", "us", "our": the operator of the CollabPortals service at https://www.collabportals.com.
  • "Affiliate", "you", "your": an individual or entity that has been approved into the CollabPortals affiliate program.
  • "Program": the CollabPortals affiliate program described in these terms.
  • "Customer": a person or entity who creates a paid CollabPortals account.
  • "Qualified Referral": a Customer who paid for at least one full billing period via your unique affiliate link, and has not subsequently refunded or charged back.
  • "Founding Partner": a member of the limited Founding Partners tier described in Section 3.
  • "Standard Affiliate": any approved Affiliate not on the Founding Partner tier.

2. Eligibility and acceptance

To join the Program you must (a) be at least 18 years old, (b) have the authority to enter into these terms, and (c) submit an application that we approve at our sole discretion.

By accepting your invitation, signing up via your campaign URL, or sharing your affiliate link, you agree to these terms in full.

3. Commission structure

3.1 Founding Partners

The Founding Partners tier is a limited cohort of Affiliates approved at our sole discretion. We may close the tier to new Affiliates at any time.

  • Commission rate: 50% of the recurring subscription revenue paid by each Qualified Referral, for the lifetime of that Customer's CollabPortals subscription.
  • Cookie window: 90 days from the most recent click on your affiliate link.
  • Customer-side incentive: each Customer who signs up via your affiliate link receives 10% off their first 12 months of CollabPortals.
  • Publishing requirement: within 90 days of acceptance you must publish at least one piece of content about CollabPortals using your unique affiliate link, on a publicly indexable URL, with a clear and conspicuous disclosure that the link is a paid or sponsored affiliate link (see Section 7).
  • If the publishing requirement is not met within 90 days, your account will be moved to the Standard Affiliate tier. Commissions on Customers you referred while in the Founding Partner tier are unaffected and continue to pay at the original 50% rate. Any new referrals from the date of the move forward are paid at the Standard Affiliate rate.

3.2 Standard Affiliates

  • Commission rate: 30% of the recurring subscription revenue paid by each Qualified Referral, for 24 months from the Customer's first paid invoice.
  • Cookie window: 60 days from the most recent click on your affiliate link.
  • Customer-side incentive: each Customer who signs up via your affiliate link receives 10% off their first 12 months of CollabPortals.

3.3 Stickiness

Commission rates are sticky to the campaign you were in at the time of the referral. Customers you referred under one rate continue at that rate for as long as they remain subscribed, regardless of any later change to your tier.

4. Payments

  • Commissions are tracked through Rewardful and become payable 30 days after the corresponding Customer invoice is paid, to allow for refund and chargeback windows.
  • We pay commissions monthly in arrears once your accrued balance reaches the minimum payout threshold of USD 50.
  • Payouts are made via Wise to the email address on file.
  • All commissions are paid in USD. You are responsible for any conversion fees or local taxes on amounts received.
  • We may withhold an additional 5% of any payout for up to 45 days as a buffer against late chargebacks.

5. Refunds, clawbacks and chargebacks

  • If a Customer refunds within the hold period, the corresponding commission is reversed automatically.
  • If a Customer refunds after their commission has been paid out, the amount is deducted from your next payout (set-off). If no future payout is sufficient, you agree to repay the amount within 30 days of our written request.
  • The same applies to chargebacks and to subscription cancellations within the hold period.

6. Disqualified actions

You may not, and you agree that you will not:

  • Self-referral: refer yourself, your own household, your own business, or any account you control or coordinate with.
  • One account per entity: operate more than one Affiliate account per legal entity.
  • Brand bidding: bid on "CollabPortals", "Collab Portals", or any close variant or misspelling of our brand or product names as keywords on Google Ads, Bing Ads, or any other paid search platform.
  • Coupon and cashback sites: distribute your affiliate link or any CollabPortals discount code through coupon, cashback, deal, or rebate websites without our prior written approval.
  • Promo stacking: combine the Customer-side incentive in Section 3 with any other promotional code, credit, or discount, except where we explicitly permit it.
  • Cookie stuffing: cause the dropping of an affiliate cookie on a visitor without a deliberate, intentional click on your link. This includes, without limitation, hidden iframes, zero-pixel images, and forced redirects.
  • Typosquatting: register or use any domain that is a misspelling of, or confusingly similar to, "collabportals.com".
  • Trademark squatting: register or use any social media handle, account name, or domain that incorporates "CollabPortals" or any close variant.
  • Misrepresentation: imply that you are an employee of CollabPortals, that you built the product, or that you have any endorsement or relationship with us beyond what these terms grant.
  • Spam and unsolicited messaging: use unsolicited email, SMS, comment spam, or paid traffic networks that engage in click fraud.

7. Disclosure obligations

You are responsible for complying with all advertising and consumer protection laws that apply to your audience, including:

  • US: the Federal Trade Commission's Endorsement Guides (16 CFR Part 255).
  • UK: the CAP Code and ASA guidance on affiliate marketing.
  • EU: the Unfair Commercial Practices Directive and the Digital Services Act.

In practice, this means every post, video, newsletter, social media share, or other promotion of CollabPortals must include a clear and conspicuous disclosure that the link is a paid or sponsored affiliate link. Acceptable labels include "#ad", "Ad", "Advert", or "Paid partnership". Hashtags such as "#aff", "#gifted", "#collab", or "#spon" are not sufficient.

You agree to indemnify and hold us harmless from any regulatory action arising from your failure to comply with this section.

8. Intellectual property

We grant you a limited, revocable, non-transferable, non-sublicensable license to use the CollabPortals name, logo, and provided marketing assets solely for the purpose of promoting CollabPortals under these terms. You may not modify the logo or use the brand in any way that disparages, misrepresents, or damages CollabPortals.

You may not register any domain, social media handle, or trademark that contains any element of the CollabPortals name, logo, or product names.

9. Termination

We may terminate your participation in the Program at any time, with or without cause, in our sole discretion.

If we terminate you for breach of these terms, including any of the disqualified actions in Section 6, all unpaid commissions are forfeited and you must immediately cease use of all CollabPortals trademarks and assets.

If we terminate you without cause, we will pay any commissions accrued up to the date of termination, subject to the payment terms in Section 4.

You may leave the Program at any time by emailing us. Commissions accrued before your departure remain payable; future commissions on your existing referrals stop on the date you leave.

10. Audit

If we suspect material misrepresentation in your reported activity (clicks, leads, conversions, or attribution), we may audit your records on reasonable notice. If an audit reveals a discrepancy of 3% or more attributable to your conduct, you agree to reimburse the reasonable costs of the audit in addition to repaying any overpaid commissions.

11. No employment relationship

Nothing in these terms creates an employment, agency, partnership, or joint venture relationship between you and CollabPortals. You are an independent contractor and are responsible for your own taxes, insurance, and business expenses.

12. Confidentiality

Any non-public information we share with you about the Program, our business, or our Customers is confidential. You may not disclose it to anyone outside your organisation without our prior written consent, except as required by law.

13. Limitation of liability

To the maximum extent permitted by law, our total liability to you under these terms is limited to the total commissions paid to you in the six months preceding the event giving rise to the liability.

We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or lost revenue.

14. Changes to these terms

We may update these terms from time to time. Minor changes take effect immediately. Material changes that disadvantage you take effect 30 days after we notify you via email or your Affiliate dashboard. Continued participation in the Program after the effective date of a change constitutes your acceptance of the updated terms.

15. Governing law and disputes

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these terms, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.
